1. Acceptance of Terms

These Terms and Conditions (“Terms”) govern the use of all websites, platforms, applications, services, membership systems, publications, online courses, digital products, and related services operated by Eric Lawrence Frazier, MBA Advisory Services (“ELF Advisory Services”). By accessing, browsing, submitting information to, or otherwise using any ELF Advisory Services platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, as well as any policies, agreements, disclosures, or notices that are incorporated by reference. If you do not agree to these Terms, you must discontinue all use of ELF Advisory Services immediately.

2. Legal Identity of ELF Advisory Services

Eric Lawrence Frazier, MBA Advisory Services operates as a professional advisory, media, publishing, and educational enterprise. For the purposes of these Terms, references to “ELF Advisory Services” include the parent advisory firm, all subsidiaries, divisions, brands, publications, digital platforms, licensors, licensees, successors, and authorized representatives.

3. Intellectual Property Ownership

All content on ELF Advisory Services platforms, including videos, audio recordings, graphics, photographs, written materials, articles, magazines, transcripts, digital files, branding, trade dress, logos, trademarks, service marks, advertising materials, layouts, compilations, technological frameworks, and derivative works, is the exclusive property of ELF Advisory Services and is protected under U.S. and international copyright, trademark, and intellectual property laws. No content may be copied, reproduced, republished, downloaded, modified, distributed, broadcast, sold, or otherwise exploited without prior written permission from ELF Advisory Services. All rights not expressly granted are reserved.

4. User Submissions and Licensing of Contributor Content

If you submit, upload, transmit, publish, or provide any written content, images, video, audio, data, comments, biographical information, or creative materials to ELF Advisory Services in connection with advisory engagements, articles, or participation, you grant ELF Advisory Services a perpetual, irrevocable, worldwide, transferable, sublicensable, royalty-free license to use, reproduce, publish, display, distribute, host, edit, modify, adapt, excerpt, promote, monetize, archive, and create derivative works from such submissions in any medium now known or later developed. You waive any claim to compensation unless expressly agreed in a separate written agreement. You further waive all rights relating to inspection, approval, attribution, takedown, modification, or removal of published content. This license continues indefinitely regardless of account status or participation.

5. No Removal Rights and No Takedowns

By using ELF Advisory Services platforms or participating in services, you acknowledge that ELF Advisory Services has no obligation to remove, delete, suppress, or modify any content once published. You waive all rights to request takedowns, including under the Digital Millennium Copyright Act (“DMCA”), except where you possess a valid copyright interest unrelated to ELF Advisory Services content. You agree not to file DMCA takedown notices, copyright complaints, suppression requests, or legal claims seeking removal of content that ELF Advisory Services owns. Any attempt to remove or interfere with ELF Advisory Services content constitutes a breach of these Terms and may result in counterclaims, legal action, and the recovery of attorney fees and damages.

6. Membership, Subscriptions, and Paid Services

ELF Advisory Services may offer paid memberships, subscriptions, consulting services, digital products, and advisory programs. By enrolling in any paid service, you agree to all associated payment terms, renewal policies, refund policies, subscription cycles, and cancellation requirements. You authorize ELF Advisory Services or its payment processors to charge your designated payment method pursuant to the terms of the selected service. Failure to complete payment may result in suspension or termination of access. ELF Advisory Services does not guarantee that content or services available under a membership tier will remain unchanged or available indefinitely.

7. Professional Disclaimers

ELF Advisory Services provides advisory, professional, and educational services. Nothing on ELF Advisory Services platforms constitutes legal, tax, real estate, financial, investment, or professional advice unless expressly provided through a written consulting agreement executed with Eric Lawrence Frazier, MBA Advisory Services. You agree not to rely on general content as a substitute for professional consultation with a licensed attorney, CPA, real estate professional, or financial advisor. ELF Advisory Services makes no representations regarding the accuracy, completeness, or timeliness of information provided through publications, blogs, or advisory communications.

8. Non-Disparagement

You agree that you shall not, at any time, publicly or privately, directly or indirectly, post, publish, transmit, or communicate any defamatory, harmful, negative, misleading, or disparaging statements about ELF Advisory Services, Eric Lawrence Frazier, any staff member, contractor, contributor, host, guest, production decision, editorial decision, or member service. This covenant applies to all communication platforms including social media, videos, blogs, podcasts, comments, messages, reviews, and third-party websites. ELF Advisory Services reserves the right to pursue damages and legal action arising from violations of this provision.

9. User Conduct and Platform Rules

You agree to use ELF Advisory Services platforms only for lawful purposes and not to interfere with the rights, security, or experience of other users. You may not attempt to hack, disrupt, damage, disable, copy, extract, reverse-engineer, or misuse ELF Advisory Services systems, content, accounts, or technological frameworks. ELF Advisory Services may suspend or terminate access for any conduct deemed abusive, harmful, fraudulent, defamatory, or violative of these Terms.

12. Limitation of Liability

This obligation survives termination of your account or use.

14. Anti-Repudiation and Electronic Signature

Your continued use of ELF Advisory Services platforms constitutes acceptance of these Terms. Where applicable, your digital signature, including your typed name, IP address, timestamp, and “I Agree” selection, is legally binding under federal law. You waive any right to deny or repudiate your assent to these Terms.

15. Modifications to Terms

ELF Advisory Services reserves the right to modify, amend, or update these Terms at any time. Your continued use of any ELF Advisory Services platform following the posting of revised Terms constitutes acceptance of the modifications. ELF Advisory Services is under no obligation to provide individual notice of changes.

16. Governing Law and Venue

These Terms are governed exclusively by the laws of the State of California. The exclusive venue for any dispute, claim, or legal proceeding shall be the state or federal courts located in Riverside County, California.
